Terms of Service

1. AGREEMENT

These Terms of Service (“Terms”) govern your use of the services provided by Sallis Digital ABN [TBC] (“we”, “us”, “our”), including the Sally AI assistant, website design, SEO management, and related services (the “Services”).

By subscribing to or using our Services, you (“Client”, “you”) agree to be bound by these Terms. If you do not agree, do not use the Services.

2. SERVICES

Sallis Digital provides AI-powered SEO management, website design and development, content creation, and ongoing website maintenance through our proprietary AI assistant, Sally. The specific deliverables depend on your chosen plan:

  • Sally Starter ($799/month) — Custom WordPress website, AI-managed on-page SEO, 1 blog post/month, monthly SEO report, Google Search Console setup, site updates, Telegram chat access.
  • Sally Pro ($1,490/month) — Everything in Starter plus premium AI engine, 4 blog posts/month, weekly SEO reports, competitor monitoring, Google Analytics setup.
  • Sally Enterprise ($1,990/month) — Everything in Pro plus 8 blog posts/month, multi-location SEO, priority support, proactive content strategy, dedicated account management.

3. WEBSITE BUILD

Every plan includes a custom WordPress website build at no additional cost. The website build includes:

  • Custom design based on your branding and industry
  • Mobile-responsive layout
  • SEO-optimised structure and metadata
  • Contact forms and basic integrations
  • SSL certificate and security headers
  • Hosting on our managed infrastructure

The initial website build is typically completed within 5–10 business days of receiving your content and branding materials. Revisions during the build phase are included. Major redesigns after launch may incur additional fees.

4. BILLING & PAYMENT

  • All plans are billed monthly in advance in Australian Dollars (AUD).
  • Payment is processed via Stripe. You authorise recurring charges to your nominated payment method.
  • Prices are inclusive of GST where applicable.
  • If payment fails, we will attempt to charge again within 7 days. If payment remains outstanding for more than 14 days, we reserve the right to suspend Services.
  • We reserve the right to change pricing with 30 days’ written notice. Existing clients will be honoured at their current rate for at least 90 days after notice.

5. NO LOCK-IN CONTRACT

All plans are month-to-month. You may cancel at any time by providing written notice (email or Telegram). Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

6. CONTENT OWNERSHIP

  • Your content: All original content we create for you (blog posts, page copy, images sourced for your site) is owned by you. Upon cancellation, you retain full ownership of all content.
  • Your website: The WordPress website we build is yours. Upon cancellation, we will provide a full backup of your website files and database within 14 days of your request, at no charge.
  • Our tools: Custom code, plugins, themes, and AI systems developed by Sallis Digital remain our intellectual property. You are granted a licence to use them while subscribed.
  • Portfolio rights: We may use your website as a case study or portfolio piece unless you opt out in writing.

7. HOSTING & DOMAIN

  • Website hosting is included in all plans on our managed cloud infrastructure.
  • Domain registration and renewal is the Client’s responsibility. We can assist with DNS configuration at no extra charge.
  • Upon cancellation, hosting will remain active until the end of the billing period. After that, you are responsible for migrating your site to your own hosting provider. We will provide reasonable assistance for migration.

8. AI ASSISTANT (SALLY)

  • Sally is an AI-powered assistant. While she is supervised and guided by our team, responses and actions are generated by artificial intelligence.
  • Sally operates 24/7 but response times may vary. Critical issues are escalated to our human team during business hours (AEST).
  • Sally has access only to your website and SEO data. She does not have access to other clients’ data or personal information beyond what you provide.
  • We continuously improve Sally’s capabilities. Features and functionality may change over time, but core deliverables in your plan will be maintained.

9. SEO RESULTS

SEO is inherently unpredictable. We do not guarantee specific rankings, traffic levels, or revenue outcomes. What we do guarantee:

  • Consistent, professional SEO work aligned with Google’s best practices
  • Regular reporting on performance and progress
  • Transparent communication about what’s working and what’s not
  • All deliverables specified in your plan will be completed each month

10. DATA & PRIVACY

  • We collect and process data necessary to deliver the Services, including website analytics, SEO data, and communication history.
  • We do not sell or share your data with third parties, except as required to deliver the Services (e.g., hosting providers, analytics tools).
  • Client data is isolated — each client’s AI assistant operates independently with no access to other clients’ information.
  • We comply with the Australian Privacy Act 1988 and applicable privacy regulations.

11. CLIENT RESPONSIBILITIES

To deliver the best results, you agree to:

  • Provide accurate business information, branding materials, and content as requested
  • Respond to queries within a reasonable timeframe
  • Maintain ownership and control of your domain name
  • Not use the Services for any unlawful purpose or to distribute harmful content
  • Not attempt to reverse-engineer, copy, or redistribute our AI systems or proprietary tools

12. LIMITATION OF LIABILITY

To the maximum extent permitted by Australian law:

  • Our total liability for any claim arising from the Services is limited to the fees paid by you in the 3 months preceding the claim.
  • We are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities.
  • We are not responsible for third-party service outages (hosting providers, Google, etc.) that may temporarily affect your website or rankings.

13. TERMINATION

  • Either party may terminate with written notice, effective at the end of the current billing period.
  • We may terminate immediately if: you breach these Terms; your payment remains overdue for 30+ days; or you use the Services for unlawful purposes.
  • Upon termination, we will provide a full website backup within 14 days. Hosting continues until the end of the paid period.

14. CHANGES TO TERMS

We may update these Terms from time to time. Material changes will be communicated via email or Telegram with at least 14 days’ notice. Continued use of the Services after changes take effect constitutes acceptance.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
